1. Definitions
Company refers to CS Nova Digital Studio.
Client refers to any individual or entity engaging the Company.
Services refers to website design, development, hosting assistance, domain setup, branding, maintenance, or related digital services.
2. Acceptance of Terms
By approving a quotation, paying a deposit, or engaging our services in any manner,
the Client agrees to be bound by these Terms & Conditions.
3. Project Process
- ✔ A homepage preview layout will be designed and shared.
- ✔ 50% non-refundable deposit required after approval.
- ✔ Client must provide all required materials.
- ✔ Domain purchased if applicable.
- ✔ Website polished and adjusted.
- ✔ Website goes live only after full payment.
4. Payment Terms
- 4.1 50% deposit required before development.
- 4.2 Balance due before launch.
- 4.3 Final invoices due within 7 calendar days.
- 4.4 Interest may be charged on overdue accounts as permitted by South African law.
5. Late Payment, Suspension & Downgrade
If payment remains unpaid, the Company reserves the right to:
- Temporarily suspend the website
- Downgrade functionality
- Restrict access
- Withhold delivery files
- Disconnect hosting or domain services
Suspension does not cancel the Client’s obligation to pay outstanding amounts.
A reinstatement fee may apply.
6. Domain & Hosting
- Ownership transfers only after full payment.
- Renewals are the Client’s responsibility unless agreed otherwise.
- The Company is not responsible for expiration due to non-payment.
7. Client Responsibilities
- Provide content promptly
- Respond within reasonable timeframes
- Ensure content is lawful and not infringing
- Provide accurate information
8. Revisions & Scope
- Quotation includes reasonable revisions.
- Changes outside scope may incur additional fees.
- Major changes require revised quotation.
9. Intellectual Property
- Website remains Company property until full payment.
- Ownership transfers upon full payment.
- Third-party tools and frameworks excluded.
- Company may display completed work in portfolio.
10. Termination
- Deposit is non-refundable once development begins.
- Projects inactive for 30+ days may be closed.
- Company may terminate services for abusive or unlawful conduct.
11. Limitation of Liability
The Company shall not be liable for loss of business, indirect damages,
cybersecurity breaches beyond reasonable control, or third-party failures.
Liability is limited to the amount paid for services.
12. Maintenance & Support
Ongoing maintenance is not included unless agreed in writing.
Future updates may be quoted separately.
13. Force Majeure
The Company is not liable for delays caused by power outages,
internet disruptions, hosting failures, acts of God, or government restrictions.
14. Governing Law
These Terms are governed by the laws of the Republic of South Africa.
15. Amendments
The Company reserves the right to update these Terms at any time.
